1. Agreement

These Terms & Conditions ("Terms") govern your access to and use of FicientAI's website, demo bookings, and AI lead capture, qualification and follow-up services (collectively, the "Services"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. The Services

FicientAI designs, deploys and manages end-to-end AI systems that capture, qualify, book and re-engage leads on behalf of service businesses. Specific deliverables, channels, scope and pricing are set out in a separate order form or statement of work agreed between us.

3. Your responsibilities

• Provide accurate business information and timely access to the tools required to deliver the Services (e.g. WhatsApp Business, calendar, CRM).
• Ensure you have the lawful right and any necessary consents to process the customer data you share with us.
• Comply with all applicable laws, including marketing, telecoms and data-protection laws in your country.
• Keep account credentials secure and notify us of any unauthorised use.

4. Acceptable use

You agree not to use the Services to send spam, unlawful, harassing, deceptive or harmful content, to infringe any third-party rights, to attempt to reverse engineer the platform, or to overload or disrupt our infrastructure.

5. Fees and payment

Fees are set out in your order form. Unless stated otherwise, fees are payable in advance, are non-refundable, and exclude taxes which you are responsible for. Late payments may incur suspension of the Services.

6. Intellectual property

FicientAI retains all rights, title and interest in the platform, models, prompts, workflows and any technology used to deliver the Services. You retain ownership of your business data and customer data. You grant us a limited licence to use that data solely to provide and improve the Services.

7. Confidentiality

Each party will protect the other's non-public information with the same standard of care it uses for its own confidential information, and will use it only to perform under these Terms.

8. AI output disclaimer

The Services use artificial intelligence to generate responses and recommendations. AI outputs can contain errors. You are responsible for reviewing and approving any output you rely on for material business decisions.

9. Warranties and disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any specific revenue, booking or conversion outcome.

10. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue or data. Our aggregate liability arising out of or relating to the Services will not exceed the fees you paid to us in the 3 months preceding the claim.

11. Term and termination

Either party may terminate for material breach not cured within 14 days of written notice. Upon termination, your right to use the Services ends and we will delete or return your data in accordance with our standard practices and applicable law.

12. Changes

We may update these Terms from time to time. Material changes will be communicated through the Services or by email. Continued use of the Services after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws applicable at FicientAI's principal place of business, without regard to conflict-of-laws principles. The courts of that jurisdiction will have exclusive jurisdiction, except where mandatory local consumer law requires otherwise.
