Welcome to Ficient AI ("we," "our," "us"). These Terms and Conditions ("Terms") govern your use of our website, products, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. Please read them carefully before proceeding.

1. Overview of Services

Ficient AI is an automation and marketing agency specializing in designing, developing, and deploying artificial intelligence (AI) systems that improve lead engagement, automate workflows, and enhance customer ROI. Our services may include (but are not limited to) AI chatbot development, voice AI setup, workflow automation, and strategy consulting.

2. Eligibility

By using our Services, you represent that you are at least 18 years of age and have the authority to enter into a binding contract on behalf of yourself or the entity you represent. You must also ensure that any information you provide is accurate and up-to-date.

3. Service Engagement & Onboarding

  • Before project commencement, clients are required to complete an onboarding document which outlines their business objectives, existing infrastructure, and preferences for engagement.

  • Project timelines, deliverables, and milestones begin after the onboarding process has been completed and approved.

4. Payment Terms

All fees are payable according to the pricing outlined in your proposal, invoice, or service agreement. Payment is due in full prior to commencement of any design, development, or deployment work, unless otherwise agreed in writing.

Late payments may incur delays in project delivery. All payments must be made in GBP or another currency as specified on your invoice.

5. Intellectual Property

All intellectual property developed by Ficient AI (including but not limited to system designs, automation workflows, voice scripts, chat prompts, and creative materials) remains the property of Ficient AI until full payment has been received.

Upon full payment, ownership of the specific AI systems and assets created for your business will transfer to you, excluding any proprietary frameworks, templates, or tools owned by Ficient AI.

6. Confidentiality

  • We value your confidentiality. Any information shared during the project will be treated as confidential and used solely for the purpose of delivering the agreed services.

  • Both parties agree not to disclose proprietary or confidential information to any third party without prior written consent.

7. Performance Disclaimer

  • While Ficient AI uses data-driven strategies and automation best practices, actual results may vary based on factors outside our control, including client responsiveness, data quality, marketing budget, and customer behaviour.

  • We make no absolute guarantees regarding revenue, lead conversion, or ROI unless explicitly stated in writing.

8. Refund Policy

Our Refund Policy is designed to ensure fairness, accountability, and mutual commitment during the partnership period. Please read carefully.

8.1 Indication of Refund Eligibility

  • Customers who wish to be entitled to the refund policy must indicate this in the onboarding document at the beginning of the engagement.

  • Failure to do so will automatically exclude the project from refund eligibility.

8.2 Due Diligence and Acceptance Criteria

  • By opting into the refund policy, you acknowledge that Ficient AI may choose to conduct additional interviews or due diligence during onboarding.

  • We reserve the right to decline any client who does not meet our internal business performance thresholds required to support a refund-backed engagement.

  • This ensures that both parties have a fair opportunity to achieve measurable ROI within the agreed period.

8.3 Scope of the Full Refund

Our Full Refund Guarantee covers 100% of the service fee paid for building and designing your AI system.

However, the following are excluded from the refund:

  • Call and SMS credit costs

  • Third-party software subscriptions or infrastructure costs (e.g., Twilio, Vapi, GoHighLevel, Zapier, n8n, etc.)

  • Custom domain, hosting, or server-related expenses

These costs are considered external and non-recoverable once used in production.

8.4 Client Cooperation Threshold

  • To qualify for a full refund, clients must actively cooperate with the Ficient AI team for at least 90 days after deployment.

  • This includes attending scheduled meetings, providing requested data, and implementing recommended actions.

  • Clients who consistently fail to engage — for example, by being unavailable for meetings, delaying feedback, or not providing required materials — may not meet the cooperation threshold for refund eligibility.

  • In such cases, we will issue written notifications and warnings to allow clients to rectify engagement gaps before the threshold is breached.

8.5 Start of the 90-Day ROI Period

  • The 90-day period for demonstrating a positive ROI begins after your AI systems have been fully deployed and are live in production.

  • This ensures that both the system and associated automations are functional and generating measurable activity before the countdown begins.

8.6 Requesting a Refund

  • Refund requests must be made in writing to wez@ficientai.com and will be reviewed within 10 business days.

  • We may request supporting documentation of compliance with the cooperation threshold before processing a refund.

9. Limitation of Liability

Ficient AI shall not be liable for any indirect, incidental, or consequential damages arising from the use of our Services. Our total liability under these Terms shall not exceed the total amount paid by you for the specific service in question.

10. Termination

Either party may terminate the agreement with written notice. If terminated by the client before project completion, no refunds will be issued unless explicitly covered under the Refund Policy.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts located in London, United Kingdom.
